Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and UAWSC ELECTED TRUSTEES, located at 735 W 183rd Street Apt 2B, New York, NY 10033, United States, c/o Seth Chalfin ("Organization," "we," "us," or "our"), governing your access to and use of our website, mobile application, and any related platforms, software, tools, features, or services (collectively, the "Platform"). 

BY ACCESSING, REGISTERING FOR, OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS AND ALL APPLICABLE LAWS AND REGULATIONS. IF YOU DO NOT AGREE, YOU MUST NOT USE THE PLATFORM. 

  1. Eligibility and Legal Capacity 

You represent and warrant that: - You are at least thirteen (13) years of age; - If you are under eighteen (18), you have obtained verifiable consent from a parent or legal guardian; - You have the legal capacity to enter into a binding agreement under applicable U.S. law; - Your use of the Platform does not violate any applicable law, regulation, court order, or contractual obligation. 

We reserve the right to deny access to any person at our sole discretion. 

  1. Account Registration, Authentication, and Security 

Access to certain features requires registration and authenticated login credentials. You agree to: - Provide true, accurate, current, and complete information; - Maintain and promptly update account information; - Safeguard your credentials and restrict access to your account; - Accept full responsibility for all activities conducted through your account, whether authorized or not. 

You agree that we shall not be liable for any loss or damage arising from unauthorized access resulting from your failure to secure your credentials. We reserve the right to suspend, restrict, or terminate accounts at any time, with or without notice. 

  1. Identity, Personalization, and Automated Processing 

The Platform identifies users through login credentials and may process personal data, behavioral data, and usage data to provide personalized content and experiences. You expressly acknowledge and agree that: - Personalization may be automated and algorithm-driven; - Outputs, recommendations, or interactions may be inaccurate, incomplete, or inappropriate; - Personalized content does not constitute professional, legal, medical, or financial advice. 

Use of the Platform is at your sole risk.

  1. Communications, Chat, and User Interactions 

The Platform enables user-to-user and user-to-system communications, including chat and interactive features. You agree that you shall not: - Transmit unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable content; - Engage in hate speech, discrimination, or incitement of violence; - Solicit, defraud, deceive, or exploit other users; - Impersonate any person, entity, or authority; - Collect, disclose, or misuse personal data of others without lawful basis or consent. 

We reserve the unrestricted right, but not the obligation, to monitor, moderate, record, disclose, or remove communications and to cooperate with law enforcement or legal process. 

  1. User-Generated Content and License Grant 

You retain ownership of content you submit, upload, or transmit ("User Content"). By submitting User Content, you irrevocably grant us a perpetual, worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to use, copy, store, host, modify, adapt, publish, translate, distribute, publicly display, and create derivative works from such User Content for any lawful purpose related to the operation, security, enforcement, improvement, or promotion of the Platform. 

You represent and warrant that: - You own or control all necessary rights to User Content; - User Content does not infringe intellectual property, privacy, publicity, or other rights of any third party; - User Content complies with all applicable laws and regulations. 

  1. Prohibited Conduct and Acceptable Use 

You agree not to, directly or indirectly: - Use the Platform for any unlawful, fraudulent, or malicious purpose; - Interfere with, disrupt, or compromise the integrity, security, or performance of the Platform; - Attempt unauthorized access to systems, networks, or data; - Circumvent safeguards, access controls, or usage limits; - Use automated tools, bots, scrapers, or data-mining techniques without express written authorization; - Reverse engineer, decompile, disassemble, or otherwise exploit the Platform or its software. 

  1. Privacy, Data Processing, and Monitoring 

Your use of the Platform is subject to our Privacy Policy, which is incorporated by reference. You acknowledge that: - Data may be collected, processed, stored, and transferred within the United States; - Communications and activities may be logged and monitored for compliance, security, and legal purposes; - Absolute security cannot be guaranteed. 

  1. Intellectual Property Rights 

All Platform content, software, code, designs, trademarks, service marks, and proprietary materials, excluding User Content, are owned by or licensed to the Organization and are protected under U.S. and international intellectual property laws. No rights are granted except as expressly stated herein.

  1. Suspension and Termination 

We may, at our sole discretion and without liability, suspend, restrict, or terminate your access to the Platform at any time, for any reason, including suspected violation of these Terms or applicable law. All provisions which by their nature should survive termination shall survive. 

  1. Disclaimer of Warranties 

THE PLATFORM IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. 

  1. Limitation of Liability 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE ORGANIZATION, ITS TRUSTEES, OFFICERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 

  1. Indemnification 

You agree to indemnify, defend, and hold harmless the Organization, its trustees, officers, employees, agents, and affiliates from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Platform, User Content, or violation of these Terms or applicable law. 

  1. Governing Law, Venue, and Jurisdiction 

These Terms shall be governed by and construed in accordance with the laws of the State of New York and applicable United States federal law, without regard to conflict of law principles. You agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in New York, New York, and you hereby consent to personal jurisdiction and venue therein. 

  1. Modifications and Entire Agreement 

We reserve the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance. These Terms constitute the entire agreement between you and the Organization regarding the Platform and supersede all prior agreements.
